ActusPrep Limited

1. Introduction and Acceptance of Terms

These Terms and Conditions ("Terms") govern your access to and use of the ActusPrep Platform at www.actusprep.com and any associated applications (collectively, the "Platform"), operated by ActusPrep Limited, a company registered in England and Wales ("ActusPrep", "we", "us", or "our").

These Terms incorporate and should be read alongside our Privacy Policy, which is available on the Platform. Together, these documents form the entire agreement between you and ActusPrep in relation to your use of the Platform.

By creating an account, accessing the Platform, or purchasing a subscription, you confirm that you have read, understood, and agree to be bound by these Terms in full. If you do not agree, you must not use the Platform. You must be at least 18 years old to use the Platform. By agreeing to these Terms, you represent and warrant that you are 18 years of age or older.

2. Nature of the Platform and Educational Purpose

2.1 Educational Purpose Only

The ActusPrep Platform provides question banks, practice questions, model answers, explanations, and related revision materials (collectively, "Content") designed exclusively to assist registered users in preparing for the Solicitors Qualifying Examination Part 1 ("SQE1"). The Platform and all Content are provided strictly for private, non-commercial educational and exam preparation purposes.

2.2 No Legal Advice

Nothing on the Platform constitutes legal advice of any kind, nor should it be treated as such. The Content reflects general legal principles as tested in the SQE1 assessment and is not a substitute for professional legal advice. If you require legal advice in relation to any specific matter, you must consult a qualified and authorised solicitor or other appropriately regulated legal professional.

2.3 No Affiliation with the SRA or Kaplan

ActusPrep Limited is an independent commercial education provider. We have no affiliation with, and are not endorsed, authorised, or approved by, the Solicitors Regulation Authority ("SRA") or Kaplan, the organisation appointed by the SRA to deliver and assess the SQE examinations. The SQE1 assessment is designed, administered, and marked solely by Kaplan on behalf of the SRA. Any reference to the SQE1 or its syllabus in our Content is for descriptive and educational purposes only.

2.4 No Guarantee of Exam Success

ActusPrep makes no representation, warranty, or guarantee, express or implied, that use of the Platform or any Content will:

  • result in you passing the SQE1 examination or any component thereof;
  • improve your examination scores or overall performance;
  • satisfy any requirement of the SRA, Kaplan, or any other regulatory or professional body; or
  • qualify you to practise as a solicitor or in any other legal capacity.

Your examination outcome depends on numerous factors beyond the Platform, including your own preparation, prior knowledge, examination conditions, and the assessment standards applied by Kaplan. ActusPrep accepts no responsibility for any examination result.

2.5 Accuracy and Currency of Content

While ActusPrep takes reasonable care to design, develop, and maintain the Platform and its Content, the Platform may contain typographical errors, inaccuracies, technical faults, bugs, or other mistakes.

To the fullest extent permitted by applicable law, ActusPrep does not accept responsibility or liability for any errors, mistakes, omissions, or inaccuracies within the Platform or its Content, whether arising from human error, technical malfunction, or otherwise.

You acknowledge and agree that your use of the Platform is at your own risk, and that you remain solely responsible for verifying information, checking answers against authoritative sources, and exercising your own judgment when preparing for the SQE1 examination.

Whilst ActusPrep takes reasonable care to ensure that Content is accurate, clear, and reflective of the current SQE1 syllabus and the relevant law of England and Wales, we cannot guarantee that all Content is complete, error-free, or up to date at all times. The law changes frequently and the SRA may revise the SQE1 syllabus or assessment criteria. You are strongly advised to:

  • verify any legal principles or rules against primary sources, including current legislation and authoritative case law;
  • regularly consult the SRA website and Kaplan's official SQE1 guidance for the most current syllabus, format, and assessment criteria; and
  • use the Platform as one component of a broader, comprehensive revision strategy.

ActusPrep accepts no liability for any inaccuracy, error, omission, or outdated content within the Platform.

3. Account Registration

3.1 Creating an Account

To access the Platform's features, you must register for an account. When registering, you agree to:

  • provide accurate, current, and complete information;
  • maintain and promptly update your account information to keep it accurate and complete;
  • keep your password confidential and not share it with any third party; and
  • notify us immediately at info@actusprep.com if you suspect any unauthorised access to or use of your account.

3.2 Account Responsibility

You are solely responsible for all activity that occurs under your account. ActusPrep shall not be liable for any loss or damage arising from your failure to maintain the confidentiality of your credentials. Accounts are personal to you and may not be transferred to or shared with any other person or entity.

4. Subscriptions and Payment

4.1 Subscription Plans

ActusPrep offers subscription plans granting access to the Platform's Content and features. Details of current plans, pricing, and what each tier includes are set out on the Platform's pricing page. We reserve the right to introduce, modify, or discontinue subscription plans at any time, subject to providing reasonable notice to existing subscribers.

4.2 Payment

All subscription fees are stated in pounds sterling (GBP) inclusive of any applicable VAT unless otherwise stated. Payment is processed securely through our third-party payment provider, Stripe. By subscribing, you authorise us to charge the applicable fee to your chosen payment method on the billing cycle applicable to your plan.

4.3 Automatic Renewal

Subscriptions renew automatically at the end of each billing period unless cancelled before the renewal date. It is your responsibility to cancel if you do not wish your subscription to renew.

4.4 Cancellation

You may cancel your subscription at any time via your account settings or by contacting info@actusprep.com. On cancellation, you will retain access to the Platform until the end of your current paid billing period. No partial refunds are issued for unused time within a billing period, except as set out in clause 4.5 or as required by law.

4.5 Refunds

We offer a 7-day refund window from the date of initial purchase of a new subscription (not applicable to renewals). To request a refund, contact info@actusprep.com within this period. We reserve the right to decline refund requests where there is evidence of substantial Platform usage or abuse of this policy. Nothing in this clause affects your statutory rights under the Consumer Rights Act 2015 or other applicable consumer protection legislation.

5. Permitted Use and Restrictions

5.1 Licence to Use

Subject to these Terms and payment of the applicable fees, ActusPrep grants you a limited, personal, non-exclusive, non-transferable, revocable licence to access and use the Platform and Content solely for your own private, non-commercial educational purposes in connection with your SQE1 preparation.

5.2 Prohibited Conduct

You must not, without our prior written consent:

  • share your account credentials or allow any other person to access the Platform using your account;
  • copy, reproduce, download, screen-record, distribute, publish, transmit, or share any Content from the Platform, whether in whole or in part;
  • use the Platform or any Content for any commercial purpose, including resale, tutoring services, or redistribution to other students;
  • attempt to reverse engineer, decompile, disassemble, or derive the source code of the Platform or any part of it;
  • use automated tools, bots, scrapers, or similar technologies to extract, index, or systematically copy data from the Platform;
  • circumvent, disable, or otherwise interfere with any access controls, security features, or subscription restrictions;
  • post, upload, or transmit any unlawful, offensive, defamatory, or infringing material through the Platform; or
  • use the Platform in any manner that violates applicable law, regulation, or third-party rights.

Any breach of these restrictions may result in immediate suspension or permanent termination of your account without refund, and ActusPrep reserves the right to seek further legal remedies where appropriate.

6. Intellectual Property

6.1 Ownership

All Content on the Platform - including but not limited to question banks, practice questions, model answers, explanations, revision notes, audio-visual materials, design elements, software, and underlying code - is the intellectual property of ActusPrep Limited or its licensors and is protected by copyright, database rights, and other applicable intellectual property laws of the United Kingdom and, where applicable, other jurisdictions.

6.2 No Transfer of Rights

Nothing in these Terms transfers any intellectual property rights to you. Your licence under clause 5.1 is strictly limited to personal, non-commercial use of the Platform as described. All rights not expressly granted are reserved by ActusPrep.

6.3 Prohibited IP Acts

You must not reproduce, republish, adapt, translate, create derivative works from, sell, sublicense, or otherwise exploit any Content or part of the Platform without our express prior written permission. Unauthorised use of our intellectual property may constitute copyright infringement and/or a breach of database rights, and ActusPrep reserves the right to take legal action accordingly.

6.4 Feedback

If you provide ActusPrep with any feedback, suggestions, or ideas regarding the Platform or Content, you grant us a perpetual, irrevocable, royalty-free, worldwide licence to use, adapt, and incorporate such feedback into the Platform without any obligation of compensation or attribution to you.

7. Third-Party Content and Links

The Platform may contain links to third-party websites or resources for informational convenience only. ActusPrep does not endorse, control, or take responsibility for the content, accuracy, privacy practices, or availability of any third-party site or resource. Accessing any third-party website is at your own risk and subject to that third party's own terms and conditions and privacy policy.

ActusPrep accepts no liability arising from your use of, or reliance on, any third-party content accessible via the Platform.

8. Disclaimers

To the fullest extent permitted by applicable law:

  • The Platform and all Content are provided "as is" and "as available" without any warranty of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, accuracy, completeness, or non-infringement.
  • ActusPrep does not warrant that the Platform will be uninterrupted, error-free, secure, or free from viruses or other harmful components.
  • ActusPrep does not warrant that any Content accurately reflects the current state of English and Welsh law, the current SQE1 syllabus, or the assessment standards applied by Kaplan, and you acknowledge that legal and regulatory frameworks are subject to change.
  • Any reliance you place on Content from the Platform is at your own risk. ActusPrep expressly disclaims all responsibility for any examination outcome or professional consequence arising from your use of the Platform.

Nothing in this clause shall affect any statutory rights you may have as a consumer under the Consumer Rights Act 2015 or other applicable consumer protection legislation that cannot be excluded by agreement.

9. Limitation of Liability

9.1 Cap on Liability

To the fullest extent permitted by applicable law, ActusPrep's total aggregate liability to you arising out of or in connection with your use of the Platform or these Terms - whether in contract, tort (including negligence), breach of statutory duty, or otherwise - shall not exceed the total subscription fees paid by you to ActusPrep in the six (6) calendar months immediately preceding the event giving rise to the claim.

9.2 Exclusion of Certain Losses

To the fullest extent permitted by law, ActusPrep shall not be liable for any:

  • indirect, special, incidental, consequential, or exemplary loss or damage;
  • loss of profits, revenue, business, or anticipated savings;
  • loss of data or corruption of data;
  • failure to pass the SQE1 examination or any other professional examination;
  • loss of opportunity or damage to reputation; or
  • any claim brought by a third party against you,

in each case whether or not ActusPrep has been advised of the possibility of such losses.

9.3 Exceptions

Nothing in these Terms excludes or limits ActusPrep's liability for: (a) death or personal injury caused by our negligence; (b) fraud or fraudulent misrepresentation; (c) any liability that cannot lawfully be excluded or limited under English law; or (d) any breach of the terms implied by section 2 of the Supply of Goods and Services Act 1982.

10. Suspension and Termination

10.1 Termination by You

You may close your account at any time by contacting info@actusprep.com or through your account settings. Termination does not entitle you to any refund of fees already paid, except as provided in clause 4.5 or as required by applicable law.

10.2 Suspension or Termination by Us

ActusPrep may suspend or terminate your access to the Platform at any time, with or without prior notice, if:

  • you breach, or we reasonably suspect that you have breached, any provision of these Terms;
  • we reasonably suspect fraudulent, abusive, or unlawful activity in connection with your account; or
  • we are required to do so by applicable law, regulation, or a court or regulatory order.

Upon termination for any reason, your licence to access the Platform and Content ceases immediately, and any accrued but unpaid fees become immediately due.

11. Changes to the Platform and These Terms

ActusPrep reserves the right to modify, update, suspend, or discontinue the Platform or any feature or part of it at any time, with or without notice, for reasons including maintenance, security updates, or changes in our business.

We may also update these Terms from time to time. We will notify you of material changes by posting the updated Terms on the Platform with a revised "Last updated" date, and where appropriate by email notification sent to the address associated with your account. Your continued use of the Platform following such notification constitutes your acceptance of the revised Terms. If you do not agree with any amendment, you should stop using the Platform and cancel your subscription.

12. General Provisions

12.1 Governing Law and Jurisdiction

These Terms are governed by and shall be construed in accordance with the laws of England and Wales. Any dispute arising out of or in connection with these Terms or your use of the Platform shall be subject to the exclusive jurisdiction of the courts of England and Wales, except where mandatory provisions of applicable consumer law in your country of residence provide otherwise.

12.2 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and ActusPrep with respect to your use of the Platform and supersede all prior agreements, representations, understandings, or negotiations relating to the same subject matter.

12.3 Severability

If any provision of these Terms is found by a court of competent jurisdiction to be unlawful, invalid, or unenforceable, that provision shall be deemed severed from the remaining provisions, which shall continue in full force and effect.

12.4 Waiver

No failure or delay by ActusPrep in exercising any right or remedy under these Terms shall constitute a waiver of that right or remedy, nor shall it preclude any future exercise of that or any other right or remedy.

12.5 Assignment

You may not assign, transfer, sub-license, or otherwise deal with your rights or obligations under these Terms without our prior written consent. ActusPrep may assign or transfer its rights and obligations under these Terms freely, including in connection with a merger, acquisition, corporate restructuring, or sale of all or substantially all of its assets, provided that such assignment does not materially diminish your rights under these Terms.

12.6 Force Majeure

ActusPrep shall not be in breach of these Terms or otherwise liable for any delay or failure to perform its obligations where such delay or failure results from circumstances beyond our reasonable control, including but not limited to acts of God, cyberattacks, telecommunications failures, government action, or pandemic.

12.7 Third-Party Rights

These Terms do not confer any rights on any third party under the Contracts (Rights of Third Parties) Act 1999 or otherwise, except that clause 9 (Limitation of Liability) and clause 6 (Intellectual Property) shall also apply for the benefit of ActusPrep's directors, officers, and employees.
